The TOU constitutes the entire agreement
between you and NationalGreenpages.com, INC and govern your use of the
Service, superceding any prior agreements between you and
NationalGreenpages.com, INC.
Use of the NigeriaExchange Web Site is unauthorized in any jurisdiction
that does not give effect to all provisions of these terms and
conditions, including without limitation this paragraph.
You agree that no joint venture, partnership, employment, or agency
relationship exists between you and NationalGreenpages.com as a result
of this agreement or use of the NigeriaExchange Web Site.
You also may be subject to additional terms and conditions that may
apply when you use affiliate services, third-party content or
third-party software.
The TOU and the relationship between you and NationalGreenpages.com, INC
shall be governed by the laws of the State of Michigan without regard to
its conflict of law provisions. You and NationalGreenpages.com, INC
agree to submit to the personal and exclusive jurisdiction of the courts
located within the county of Oakland, Michigan.
The failure of NationalGreenpages.com, INC
to exercise or enforce any right or provision of the TOU shall not
constitute a waiver of such right or provision.
If any provision of the TOU is found by a court of competent
jurisdiction to be invalid, the parties nevertheless agree that the
court should endeavor to give effect to the parties' intentions as
reflected in the provision, and the other provisions of the TOU remain
in full forceand effect.
You agree that regardless of any statute or law to the contrary, any
claim or cause of action arising out of or related to use ofthe Service
or the TOU must be filed within one (1) year after such claim or cause
of action arose or be forever barred. A printed version of this
agreement and of any notice given in electronic form shall be admissible
in judicial or administrative proceedings based upon or relating to this
agreement to the same extent and subject to the same conditions as other
business documents and records originally generated and maintained in
printed form.
